End User License Agreement
This End User License Agreement (the “Agreement” or “EULA”) is a binding agreement between you, on behalf of yourself and any organization you represent (“you” or “your”), and BeanSprout AI (“BeanSprout,” “we,” “us,” or “our”). It governs your use of any software we make available to you. Please read it carefully.
1. Scope & acceptance
This EULA applies to any software, platforms, applications, tools, application programming interfaces, sample code, and related documentation that BeanSprout makes available or licenses to you, in any form and through any channel (collectively, the “Software”). BeanSprout is primarily a services firm, and several of our Software products are still in development and described as “coming soon.” This Agreement is therefore forward-looking: it governs your use of any current or future BeanSprout Software, whether offered on its own, bundled with a service engagement, or provided in preview, beta, or general-availability form.
By installing, accessing, downloading, or otherwise using the Software, you agree to be bound by this Agreement. If you do not agree, do not install, access, or use the Software. If you are entering into this Agreement on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
2. License grant
Subject to your continued compliance with this Agreement, BeanSprout grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Software solely for its intended purpose and for your internal business or personal use, as applicable.
This license is the only right you receive in the Software. Any use that falls outside the scope of this grant — or outside the scope of any separate written agreement, order, or plan that describes your permitted use — is not licensed and is prohibited.
3. License restrictions
You agree that you will not, and will not permit any third party to:
- copy, reproduce, publish, distribute, or otherwise make the Software available to others, except as expressly permitted by this Agreement;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or architecture of the Software, except to the limited extent that applicable law expressly permits such activity notwithstanding this restriction;
- sell, rent, lease, lend, sublicense, assign, or commercially exploit the Software, or provide it to any third party as a service;
- remove, alter, or obscure any copyright, trademark, proprietary, or other notices in or on the Software;
- use the Software for any unlawful, infringing, harmful, or abusive purpose, or in violation of any applicable law, regulation, or third-party right;
- use the Software, or any of its components, ideas, or output, to develop, train, or build a product or service that competes with the Software or with BeanSprout; or
- circumvent or interfere with any security, usage, metering, or access-control measures in the Software.
4. Ownership & intellectual property
The Software is licensed, not sold. BeanSprout and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights in it, and in any modifications, enhancements, or derivative works of it. This includes all copyrights, patents, trademarks, trade secrets, and other proprietary rights.
Except for the limited license expressly granted in Section 2, this Agreement does not grant you any rights — by implication, estoppel, or otherwise — in the Software, in BeanSprout’s name or marks, or in any related intellectual property. All rights not expressly granted are reserved.
5. Third-party and open-source components
The Software may include third-party or open-source components that are provided under their own license terms. Those terms govern your use of the applicable components, and to the extent they conflict with this Agreement with respect to those components, the applicable third-party or open-source terms control for that component only. Where required, notices and license texts for such components will be made available with the Software or its documentation.
6. Data, inputs, and AI outputs
The Software may allow you to submit data, prompts, files, configurations, or other materials (“Inputs”) and may generate results, responses, or other content (“Outputs”). How BeanSprout collects and processes your personal data in connection with the Software is described in our Privacy Policy, and your use of the Software may also be governed by a separate written agreement; where such an agreement addresses data, Inputs, or Outputs, that agreement controls.
As between you and BeanSprout, and except as otherwise stated in a separate written agreement, you retain your rights in your Inputs and are responsible for them. To the extent permitted by law and subject to BeanSprout’s and its licensors’ underlying rights in the Software, BeanSprout does not claim ownership of the Outputs generated for you through your permitted use. You are solely responsible for evaluating Outputs before relying on them and for ensuring that your use of any Inputs and Outputs is lawful, accurate, and appropriate for your intended purpose. Outputs may be inaccurate or incomplete and should not be treated as professional advice.
7. Confidentiality
The Software, its non-public features, and any non-public technical, performance, or other materials BeanSprout provides in connection with it are BeanSprout’s confidential information. You agree to protect them with reasonable care, to use them only as permitted by this Agreement, and not to disclose them to any third party except as expressly authorized in writing.
8. Warranty disclaimer
To the maximum extent permitted by applicable law, the Software is provided “as is” and “as available,” with all faults and without warranty of any kind. BeanSprout and its licensors disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. BeanSprout does not warrant that the Software will be uninterrupted, error-free, secure, or that it will meet your requirements, and any preview, beta, or pre-release Software may be incomplete or change at any time.
9. Limitation of liability
To the maximum extent permitted by applicable law, BeanSprout and its licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to this Agreement or the Software, whether based in contract, tort, or any other theory, and even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, BeanSprout’s total aggregate liability arising out of or relating to this Agreement or the Software will not exceed the greater of (a) the amounts you paid to BeanSprout for the Software giving rise to the claim in the twelve (12) months before the event giving rise to liability, or (b) one hundred U.S. dollars (US$100). These limitations apply notwithstanding the failure of any limited remedy and form an essential basis of the bargain between you and BeanSprout.
10. Term & termination
This Agreement and the license granted in it remain in effect until terminated. This Agreement terminates automatically, without notice, if you breach any of its terms, and BeanSprout may also suspend or terminate your license at any time, including if BeanSprout ceases to offer the Software.
Upon termination, your license ends and you must stop all use of the Software and delete or destroy all copies of it in your possession or control. Sections that by their nature should survive termination — including ownership, confidentiality, warranty disclaimer, limitation of liability, and governing law — survive termination of this Agreement.
11. Updates & modifications
BeanSprout may update, modify, suspend, or discontinue the Software, or any feature of it, at any time, and may provide updates, patches, or new versions that are subject to this Agreement unless accompanied by separate terms. BeanSprout may also revise this Agreement from time to time; the version posted at this page, with its stated effective date, is the current version, and your continued use of the Software after a revision takes effect constitutes acceptance of the revised Agreement.
12. Governing law
This Agreement is governed by and construed in accordance with the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. The courts located in the State of Georgia will have jurisdiction over any dispute arising out of or relating to this Agreement or the Software, to the extent permitted by applicable law.
