These Terms & Conditions (the “Terms”) govern your access to and use of the website at https://www.beansprout.ai (the “Site”), operated by BeanSprout AI (“BeanSprout,” “we,” “us,” or “our”), an agentic-AI operations firm. Please read these Terms carefully before using the Site.
1. Acceptance of these Terms
By accessing or using the Site, you agree to be bound by these Terms and by any policies referenced in them, including our Privacy Policy. If you do not agree to these Terms, you may not access or use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.
2. About these Terms
The Site is provided for general informational purposes about BeanSprout, our work as an agentic-AI operations firm, and software products in development. The Site is not an offer to provide services, and nothing on it creates an engagement.
Any BeanSprout services, products, or deliverables are provided only under a separate written agreement — such as a master services agreement, statement of work, order form, or subscription agreement — signed by both parties. In the event of any conflict between these Terms and such a separate written agreement, the separate written agreement controls with respect to the services it covers.
3. Use of the Site and acceptable use
You may use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not:
- use the Site in any way that violates any applicable law or regulation;
- scrape, harvest, crawl, data-mine, or otherwise extract data or content from the Site by automated means without our prior written permission;
- interfere with, disrupt, or place an unreasonable load on the Site or its underlying infrastructure, or attempt to do so;
- attempt to gain unauthorized access to any part of the Site, accounts, systems, or networks connected to the Site;
- introduce any malware, virus, or other harmful code, or use the Site to transmit such code;
- misrepresent your identity or affiliation, or impersonate any person or entity;
- reverse engineer, decompile, or disassemble any part of the Site except to the extent such restriction is prohibited by law.
4. Intellectual property
The Site and all of its content — including text, graphics, logos, images, page layouts, design, and software — and all trademarks, service marks, and trade names appearing on the Site are owned by BeanSprout AI or its licensors and are protected by intellectual-property and other laws. All rights not expressly granted are reserved.
We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own personal, non-commercial reference. You may not copy, reproduce, republish, distribute, modify, create derivative works from, publicly display, or otherwise exploit any part of the Site without our prior written permission, except as expressly permitted by these Terms or by applicable law.
5. No professional advice
The content on the Site is provided for general information only. It does not constitute legal, financial, tax, investment, or other professional advice, and it should not be relied on as a substitute for advice from a qualified professional. Your use of the Site does not create any advisory, fiduciary, client, or other professional relationship between you and BeanSprout. Any engagement of BeanSprout arises only under a separate written agreement as described above.
6. Disclaimers
The Site is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, BeanSprout disclaims all warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Site will be accurate, complete, current, uninterrupted, secure, or error-free, or that any defects will be corrected. Any reliance you place on the Site is at your own risk.
7. Limitation of liability
To the maximum extent permitted by law, BeanSprout and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of, or inability to use, the Site — whether based in contract, tort, negligence, strict liability, or any other theory, and even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
8. Indemnification
You agree to defend, indemnify, and hold harmless BeanSprout AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by BeanSprout. We provide these links for convenience only and do not endorse and are not responsible for the content, products, services, accuracy, or practices of any third-party site. Accessing any third-party site is at your own risk and subject to that site’s own terms and policies.

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect information in connection with the Site. By using the Site, you acknowledge the practices described in the Privacy Policy.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Changes are effective when posted to the Site. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
12. Governing law and dispute resolution
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles. You agree that the exclusive venue for any dispute that may be brought in court will be the state and federal courts located in the State of Georgia, and you consent to the personal jurisdiction of those courts.
